住友化学は、ブラジル政府により進められていたブラジル東北部カマサリ地区の石化コンビナート計画のＬＤＰＥ起業化につき、資本･技術の両面で参加することとなり、1974年9月、ブラジル側のPQSA(ブラジル石油化学会社）、ITAP社、Suzano社、ＮＤＱ社と、住化、伊藤忠により、Politeno Industria e Comercio S.A. が設立された。住化は20%出資、同社にベッセル式ＬＤＰＥ技術を輸出した。

　オデブレヒトとマリアニの両グループが中心となり、石油化学業界の再編成が開始された。カマサリ石油化学コンビナートの中核であるコペネ石油化学がすべてのコンビナートの石油化学工業会社を吸収し、ブラスケンと改名、資本金を12億レアルから18.4億ドルへ増資する。オデブレヒト石油化学およびマリアニの52114持ち株の両持ち株会社は解消。少数株主との交渉後にトリケン、ポリアルデン石油化学、OPP化学、プロペット、ニトロカルボーノはブラスケンへ吸収される。また、ブラスケンは現在、オデブレヒトの有するトリウンフォ石油コンビナートの中核原料会社の株式29.5％を継承する。

　この大合併に基き、ブラスケンは年間粗収入80億レアル、純収入65億レアル、市場価格による評価額22.6億レアル、国内シェアは基本原料34％、ポリエチレン39％、ポリプロピレン31％、PVC51％の会社となり、生産段階毎に課せられる税金、PIS、Cofins、小切手税CPMFなどの節税は年間3.3億レアルに達する。

　この合併に関係する少数株主中にはペトロブラスに属するペトロキザ、伯銀年金プレビ、ペトロブラス年金ペトロスなどの大物が含まれており、ブラスケンの支配株主と取り交わした了解によれば、ペトロキザは2005年4月まで選択を認め、オデブレヒト、マリアニも同様である。新会社の負債は56億ドル、その70％はドル建てであるが、今後12ヶ月間の償却に関しては既にヘッジされている。レアル建て債務は5.9億レアル、これは開発銀行と交渉中、新規資金は必要でない。市場の合併に対する評価はプラスにて、コペネ6.25％高、トリケン2.8％高、ニトロカルボーノ22.7％高であった。

Braskem decided to invest R$ 90 million in the expansion of its PVC unit in Alagoas, based upon the perspectives of this resin consumption growth in the next years. The investment will allow an additional offer of 50 thousand tons of PVC, what represents a growth of 25% in the installed capacity of Braskem PVC in Alagoas.
This expansion will result in competitiveness improvement and the company’s total resin production capacity will reach 530 thousand tons/year, available in the market in the next year. The announced investment has the potential to generate an additional revenue of R$ 100 million/year and it is part of a program developed by Braskem to increase the PVC production capacitiy to 630 thousand tons/year, to be implemented along the next years.

Braskem is also investing in the expansion of Polypropylene capacity in Triunfo, Rio Grande do Sul. The construction work started in 2003 and will be concluded in 2004, offering 100 thousand tons/year, or 20% of the present Braskem Polypropylene capacity

Braskem can assume the control of Politeno

The Brazilian petrochemical company is to conclude the negotiations that will allow the company to assume the control of thermoplastic resin manufacturer Politeno. Currently Braskem has 35 percent share in Politeno and the prospect is to have 70 percent share. The expectation is the deal to move BRL 500 million.

Politeno is currently controlled by Suzano Petroquimica (35%), Sumimoto Chemical Company (20%), and Itochu Corporation (10%).

　ブラジル最大の石化会社ブラスケムは5日、35%出資するＰＥの合弁会社ポリテーノを、他の株主の持株を買い取って100%子会社にしたと発表した。
　Suzano Petrochemicalから35%、住友化学から20%、伊藤忠から10%を買収した。まず111.3百万ドル（うち日本側に50.7百万ドル）を支払い、最終的には今後18ヶ月の業績を反映した計算方式により精算する。.

　ポリテーノは1978年に住化技術でＬＤＰＥ/ＥＶＡ 100千トンでスタート、その後1992年にデュポンカナダからLLDPE/HDPE技術を導入した。現在の能力はLDPEが150千トン、LL/HDが210千トン、合計360千トンだが、過去3年は320千トン程度の生産となっている。ブラスケムでは買収後、早急にフル生産にするとともに、10百万ドルを投資して2007年までに40万トンに増やす。

　ブラスケムは2001年にOdebrecht-Mariani グループがエチレンメーカーのCopeneを買収して設立した。2003年には、1970年代に当時の三菱化成と日商岩井が現地との合弁で設立したHDPE会社のポリアルデン、塩ビ会社のトリケム（当初の名前はCPC）の他社持ち株を買収して100%子会社としている。

Braskem announces that it has bought Politeno in a move which represents an important step forward in the implementation of its growth strategy, value creation and the consolidation of its integrated business model. The operation was concluded through an agreement to buy out the stakes held by Suzano Petroquimica, Sumitomo Chemical and Itochu in the capital of Politeno. This initiative means that Braskem now holds 100% of the voting capital of Politeno and 96.15% of its total capital.

　住友化学は２００８年に商業生産を始めるサウジアラビアでの石油化学合弁事業に絡み、世界３カ所で販売拠点を設ける。ポリエチレンなど汎用樹脂の需要拡大が期待できる中国や欧州市場を開拓する。サウジで生産する汎用樹脂は日本より品目を絞り、量産効果を高める方針。低コスト製品を武器に販路を早期に確立、０９年度に約３千億円の販売を目指す。
